These Terms of Service ("Terms") govern your access to and use of the Nogrunt.ai platform and services ("Service") provided by Nogrunt.ai ("Nogrunt", "we", "our", or "us").

By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization.

2. Scope of Services

Nogrunt.ai is an AI-native digital teammate that integrates with engineering environments to understand software systems and manage the end-to-end quality lifecycle.

• AI-driven quality analysis and insights
• Automated and assisted test generation and execution
• Monitoring of system behavior and quality signals
• Integrations with development, CI/CD, and production systems

Nogrunt operates alongside engineering teams to enhance quality outcomes and does not function as a standalone testing tool.

3. Eligibility & Account Responsibilities

You may use the Service only if you are acting on behalf of a legal entity and have the authority to bind that entity.

• Maintaining the confidentiality of account credentials
• Ensuring access is limited to authorized users
• All activities conducted under your account

You agree to notify us promptly of any unauthorized use.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful or unauthorized purpose
• Interfere with or disrupt the integrity or performance of the Service
• Attempt to gain unauthorized access to systems or data
• Reverse engineer, decompile, or attempt to extract source code
• Use the Service to build or support a competing product

You must use the Service in compliance with applicable laws and regulations.

5. Fees, Payments & Taxes

• Fees are defined in a separate agreement, order form, or subscription plan
• Payments must be made in accordance with agreed terms
• All fees are exclusive of applicable taxes, including GST

Failure to pay may result in suspension or termination of access.

6. Intellectual Property

All rights, title, and interest in and to the Service, including software, AI models, algorithms, and documentation, remain the exclusive property of Nogrunt.ai. You retain ownership of all Customer Data. No rights are granted except as expressly stated in these Terms.

7. Confidentiality

• Protect the other party's confidential information
• Use such information only for purposes related to the Service
• Not disclose it to third parties without consent, except as required by law

Confidential information includes all non-public technical, business, and operational information.

8. Data Protection

You retain all rights to your data, including code, logs, and system information ("Customer Data").

• Process Customer Data solely to provide and improve the Service
• Not sell Customer Data
• Not use Customer Data to train shared AI models without explicit consent
• Implement reasonable security measures aligned with industry standards

You are responsible for ensuring your use of the Service complies with applicable data protection laws.

9. Warranties & Disclaimers

The Service is provided on an "as is" and "as available" basis. Nogrunt disclaims all warranties, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

Due to the nature of AI systems, outputs may not always be accurate, complete, or error-free. You are responsible for reviewing and validating outputs before relying on them.

10. Limitation of Liability

• Nogrunt shall not be liable for any indirect, incidental, special, or consequential damages
• Total liability shall not exceed the fees paid by you in the 12 months preceding the claim

11. Termination

We may suspend or terminate your access if you violate these Terms or payment obligations are not met. You may discontinue use at any time. Upon termination, access to the Service will cease and data handling will be governed by applicable agreements.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka.

13. Miscellaneous

These Terms, along with any applicable agreements or order forms, constitute the entire agreement between you and Nogrunt.ai regarding the Service.

Neither party shall be liable for failure or delay in performance due to events beyond reasonable control.

We may update these Terms from time to time. Updated Terms will be posted on this page with a revised "Last Updated" date. Continued use of the Service constitutes acceptance of the updated Terms.
